ARTICLE V - Responsibilities of Officers

The President

Section 5.1 The President shall be the Chief Executive Officer of The Society; the President shall preside at all meetings of the members and Councilors, shall have general and active management of the business of The Society and shall see that all orders and resolutions of the Council are carried into effect.

Section 5.2. The President shall execute bonds, mortgages, and other contracts in the name of The Society, except where required or permitted by law to be otherwise signed and executed and except where the signing and execution thereof shall be expressly delegated by the Council to some other Officer or agent of The Society.

The Secretary/Treasurer

Section 5.3. The Secretary/Treasurer shall:  (1) attend all sessions of the Council and all meetings of the members and record all the votes of The Society and the minutes of all the transactions to be kept for that purpose, and shall perform like duties for the executive and other committees of the Council when required. (2) give, or cause to be given, notice of all meetings of the members and of Special Meetings of the Council, and shall perform such other duties as ay be prescribed by the Council or President, under whose supervision they shall be. (3) distribute, revise and maintain directory of membership and membership applications. (4) procure meeting sites for future meetings two years in advance and assist in the organization of, and preparations for, the annual meeting of the Society, (4) oversee the organization and operation of the Society website. (5) keep in safe custody the corporate seal of The Society, and, when authorized by the Council, affix the same to any instrument requiring it, and, when so affixed, it shall be attested by the Secretary/Treasurer’s signature. (6) have the custody of the corporate funds and shall keep full and accurate accounts of receipts and disbursements in books belonging to The Society, and shall deposit all moneys and other valuable effects in the name and to the credit of The Society in such depositories as shall be designated by the Council. (7) disburse the funds of The Society as may be ordered by the Council, taking proper vouchers for such disbursements, and shall render to the President and Councilors, at the Regular Meetings of the Council, or whenever they may require it, an account of all transactions as Treasurer and of the financial condition of The Society. (8) collect membership application fees and annual dues from members. (9) prepare all outside financial reports that are required for the Society. (10) conduct all monetary transactions with Elsevier.
