Page 7 of 9 ARTICLE VII - Governance Section 7.1. The officers of The Society shall be a President, Past-President, President-Elect, and a Secretary/Treasurer. No two offices may be occupied by the same person at the same time. Section 7.2. The Society shall be governed by a Council composed of the President, the President-Elect, Secretary/Treasurer, the Past President and nine Councilors. Each councilor shall serve for three years. The councilors shall be representative of The Society's interdisciplinary membership and represent the stated purpose of the organization. The editor-in chief of the official journal of the society, shall be an ex-officio member of council. Section 7.3 Duties and Responsibilities of the Council. The general management of The Society shall be vested in the officers and in the Council. It shall make arrangements for all meetings sponsored by The Society. The Council has final authority to approve, approve in part, or reject reports and recommendations of committees. Section 7.4. The Council may also choose such other Officers and Assistant Officers and agents as the needs of The Society may require who shall hold their offices for such terms and shall have such authority and shall perform such duties as from time to time shall be determined by resolution of the Council. Section 7.5. No part of the net earnings of the corporation shall inure to the benefit of or be distributable to its members, trustees, directors, officers or other private persons, except that the corporation/organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of Section 501 (c) (3) purposes. No substantial part of the activities of the corporation shall be the carrying on of propaganda or otherwise attempting to influence legislation, and the corporation shall not participate or intervene in (including the publishing or distribution of statements) any political campaign on behalf of, or in opposition to, any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under section 501 (c) (3) of the Internal Revenue Code (or corresponding section of any future Federal tax code) or (b) by a corporation, contributions to which are deductible under Section 7.6. The officers of The Society shall hold office until their successors are chosen. Any Officer of agent elected or appointed by the Council, may be removed by the Council whenever in its judgment, the best interests of The Society will be served thereby, but such removal shall be without prejudice to the contract rights, if any, of the person so removed. If the office of any Officer becomes vacant for any reason, the vacancy shall be filled by the Council. |
